Der «Swiss Code of Best Practice for Corporate Governance» dient seit 2002 als Richtschnur für Corporate Governance von Schweizer Unternehmen und hat wesentlich dazu beigetragen, dass die Schweiz heute in diesem Thema international einen Spitzenplatz einnimmt. Der «Swiss Code» fokussiert auf verantwortungsvolles Unternehmertum und richtet sich an Führungskräfte in Unternehmen. Er ist in unserem Land das Referenzwerk für Verwaltungsräte und Executive-Board-Mitglieder und damit ein Musterbeispiel für gelungene Selbstregulierung. 2014 wurde er letztes Mal revidiert und erscheint dieses Jahr in einer grundlegend überarbeiteten Neuauflage.

Der [«Swiss Code of Best Practice for Corporate Governance» ](https://www.economiesuisse.ch/de/publikationen/swiss-code-best-practice-corporate-governance)gibt den Unternehmen in der Schweiz Empfehlungen für die Ausgestaltung ihrer Corporate Governance. Er vermittelt ihnen über die gesetzlichen Vorgaben hinausgehende Leitlinien und gewährleistet gleichzeitig ihre organisatorische Flexibilität. Seit seiner Einführung im Jahr 2002 hat der «Swiss Code» die Entwicklung der Corporate Governance in der Schweiz massgeblich geprägt und sich als Instrument der Selbstregulierung bewährt.

#### POLITISCHE UND GESELLSCHAFTLICHE ENTWICKLUNGEN MACHTEN REVISION NÖTIG

Seit seiner letzten Revision gab es wichtige Entwicklungen aufzunehmen. Die Revision 2023 erfolgte vor dem Hintergrund des neuen Aktienrechts und der erstarkten Entwicklung im Bereich der Nachhaltigkeit. Sie ermöglichte es, die Erfahrungen der letzten Jahre in der Schweiz wie auch die relevanten internationalen Entwicklungen aufzugreifen. Damit konnte der «Swiss Code» in Bezug auf die Empfehlungen auf den neusten Stand gebracht werden. Gleichzeitig wurden die Besonderheiten der Schweiz berücksichtigt. Bewährt seit der letzten Revision hat sich der Ansatz «comply or explain». Unternehmen ist es damit weiterhin möglich, eigene Gestaltungsideen umzusetzen. Sie haben sich aber zu erklären, falls ihre Corporate Governance von den Empfehlungen des «Swiss Codes» abweicht. Die Änderungen am «Swiss Code» verfolgen alle auch das Ziel, einen Beitrag zur Festigung des Vertrauens in die Wirtschaft zu leisten.

#### REVISION VOM VORSTAND VERABSCHIEDET

Die von einer hochkarätigen Arbeitsgruppe erarbeiteten Anpassungsvorschläge zum «Swiss Code» wurden im Sommer 2022 in eine breite Konsultation gegeben und die Inputs wurden von der Arbeitsgruppe diskutiert. Am 14. November 2022 hat der Vorstand von economiesuisse die Revision des «Swiss Codes» definitiv verabschiedet. David Frick, Präsident der Rechtskommission von economiesuisse, ist mit dem Ergebnis sehr zufrieden und betont, «dass der Erfolg des ‹Swiss Codes› auf seiner breiten Akzeptanz beruht, dabei aber neue Relevanz für die Schaffung von nachhaltigem Mehrwert für alle erhält».

#### Über uns

Die Handelskammer und Arbeitgebervereinigung Winterthur HAW ist 1992 aus der Fusion der Kaufmännischen Gesellschaft Handelskammer Winterthur und dem Arbeitgeberverband Winterthur entstanden. Ihre Wurzeln gehen bis ins Jahr 1801 zurück. Die HAW prägte die wirtschaftliche Entwicklung der Stadt Winterthur und trägt bis heute dazu bei, dass Winterthur ein Wirtschaftsstandort mit gut ausgebauter Infrastruktur ist.
